1. Introduction

Welcome to MDD-MH. These Terms & Conditions (“Terms”) govern your access to and use of our website, services, platforms, applications, messaging solutions, and communication tools, including but not limited to WhatsApp Business API and Rich Communication Services (RCS) (collectively, the “Services”).

MDD-MH is a business communication and messaging service provider operating from Georai, Beed, Maharashtra, India. By accessing, registering, or using our Services, you agree that you have read, understood, and are legally bound by these Terms under applicable Indian laws.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Services.


2. Definitions

  • “Company,” “We,” “Us,” “Our” refers to MDD-MH
  • “User,” “You,” “Client” refers to any individual or entity using our Services
  • “Platform” refers to our website, dashboards, APIs, and integrations
  • “WhatsApp API” refers to Meta’s official WhatsApp Business Platform
  • “RCS” refers to Rich Communication Services enabled via telecom operators
  • “Content” includes text, media, templates, data, and messages transmitted
  • “Applicable Law” means laws of India, including IT Act 2000 and rules thereunder

3. Acceptance of Terms

By using MDD-MH Services, you confirm that:

  • You are legally capable of entering into binding contracts
  • You agree to comply with all applicable Indian laws
  • You accept Meta, Google, and Telecom Partner policies where applicable

These Terms constitute a legally binding agreement between you and MDD-MH.


4. Description of Services

MDD-MH provides:

  • WhatsApp Business API onboarding and messaging services
  • RCS messaging and notification delivery
  • Customer engagement, alerts, and transactional communication
  • Campaign management and automation tools
  • Message analytics and delivery reports

We act as a technology facilitator and do not control end-user devices, networks, or Meta/telecom infrastructure.


5. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be a registered business or authorized representative
  • Provide accurate and verifiable business information
  • Have lawful authority to contact end users

We reserve the right to deny access if eligibility requirements are not met.


6. Account Registration

Users may be required to create an account and provide:

  • Business identity details
  • Authorized contact information
  • Compliance declarations

You are responsible for maintaining confidentiality of login credentials. MDD-MH is not liable for unauthorized access caused by your negligence.


7. User Responsibilities

You agree:

  • Not to send spam, misleading, or illegal messages
  • To obtain valid opt-in consent from recipients
  • To comply with WhatsApp, RCS, TRAI, and Indian IT laws
  • Not to misuse the platform for fraud or abuse

Violation may result in immediate suspension or termination.


8. Payment & Billing Terms

  • Fees are charged as per agreed pricing plans
  • Payments must be made on time
  • Taxes (GST or others) are borne by the user
  • Non-payment may result in service suspension

All payments are non-refundable unless expressly stated.


9. Subscription Renewal & Termination

Subscriptions may renew automatically unless canceled.
MDD-MH may terminate services for:

  • Policy violations
  • Legal non-compliance
  • Fraud or misuse

Termination does not waive outstanding payment obligations.


10. Use of WhatsApp Official API & RCS

Users acknowledge:

  • WhatsApp API is governed by Meta policies
  • RCS is governed by telecom operator and Google policies
  • MDD-MH does not guarantee account approval

Non-compliance may lead to permanent bans imposed by third parties.


11. Message Delivery & Compliance Policy

Message delivery depends on:

  • Network availability
  • User device status
  • Platform rules

MDD-MH does not guarantee delivery, read receipts, or response rates.


12. Intellectual Property Rights

All software, branding, content, and documentation are owned by MDD-MH or its licensors.
Unauthorized copying, resale, or reverse engineering is prohibited.


13. Confidentiality

Both parties agree to keep confidential information secure and undisclosed, except as required by law or platform partners.


14. Disclaimer of Warranties

Services are provided “as is” and “as available.”
MDD-MH disclaims all warranties including fitness for a particular purpose.


15. Limitation of Liability

MDD-MH shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or business
  • Platform suspensions by Meta or telecom providers

Maximum liability is limited to fees paid in the preceding 3 months.


16. Indemnification

You agree to indemnify MDD-MH against claims arising from:

  • Unauthorized messaging
  • Data protection violations
  • Legal or regulatory breaches

17. Governing Law (India)

These Terms are governed by the laws of India.
Courts in Maharashtra shall have exclusive jurisdiction.


18. Changes to Terms

MDD-MH may update these Terms at any time. Continued use constitutes acceptance.
